Antonio Meca, Councillor spokesman for Citizens in the city of Lorca, announces that he will leave the Board of Directors of the public company of Municipal Cleaning Lorca, LIMUSA, if the absolute power of the manager issued by the Mayor is not limited, Mr. Jodar, in 2007.
Until then, the powers of governance of the company belonged to the Board of Directors, through its CEO.
This figure, and therefore the powers of that body were given absolutely the manager, becoming therefore the Board of Directors of the company in a mere observer of the decisions taken sole way by the manager on management and governance of this public company.
Among the powers granted in 2007 the manager and that in our view they should correspond to the Board are the following:
Company personnel with ability to hire and fire their own discretion and set their powers.
The manager act as sole organ procurement and should be a collegial body.
Antonio Meca propose to the General Meeting of LIMUSA, among others, the following proposals:
That direct recruitment by the manager is limited in an economic amount to be determined.
That all contracts that exceed that amount are carried out by the Office of the City of Lorca hiring or collegial body constituted for this purpose.
That the decision to dismiss employees take the Board of Directors.
The hiring is done through a fully transparent selection process.
It is the Board of Directors who approve the financial remuneration of employees.
From Citizens we believe that a public company can not be held by one person, where the Board of Directors lacks powers and is limited to be informed of fait accompli.
Be part of the Board of Directors provided that is useful for the control and corporate governance, in any case as mere figureheads.
